Corporate Governance: Seedrs, Nominee Structure is Secondary Market’s Killer Application

Speaking with Crowdfund Insider, Seedrs’s CEO, Jeff Kelisky (pictured below) focused on one of the reasons why their Secondary Market saw 682 trades during 2017 with some investors experiencing 19X returns.

According to Kelisky’s view the Nominee Structure played a pivotal role in this:

I think one of the interesting things about [the Nominee Structure], in many ways, is the benefit of things that [Jeff Lynn] did that were not immediately understood. In starting a company, when you don’t have a lot of cash there are things you have to get right.

Those include making decisions. Since the Nominee Structure creates a single shareholder on the cap table, this makes it easy to manage decisions helping also to align the platform’s interests with those of investors.
